
“No signed paperwork, no contract.” It’s one of those persistent myths that trips people up.
We keep seeing people ask in Facebook groups what they stand when their client hasn’t signed a contract they issued and we are seeing a lot of well intentioned but wrong advice.
Let’s clear that up.
A Contract Exists When Three Things Happen
In English (and Welsh) law, a contract doesn’t need to be a signed piece of paper. It just needs to include:
- An offer – You present your terms (usually in the form of a proposal, contract, or linking to or sending your terms and conditions).
- Consideration – The client agrees to pay or provide something of value.
- Acceptance – They say “yes” to your offer—whether that’s by replying to your email, giving the go-ahead, or paying you.
What That Looks Like in the Real World
In business-to-business relationships, it’s still about these three pillars. Here’s how that might play out:
- You send your client your contract or terms when they’re considering hiring you (maybe as part of your pitch or before they buy from your site).
- Your client agrees to pay you—that’s your consideration.
- They ask you to begin, or they pay your invoice (which should also link to your terms) —that’s acceptance.
Even if they never sign on the dotted line, that’s a contract.
Should You Still Bother to Get Your Contract Signed?
Absolutely. Getting your contracts signed is still best practice:
- It removes doubt.
- It gives you stronger legal footing.
- If you handle 3rd party personal data, signed data processing agreements are essential under UK GDPR.
But remember: the absence of a signature doesn’t mean the absence of a contract.
If You Do Nothing Else…
Make sure your clients see your terms before they say yes. This could be:
- A link to your terms when they book.
- A PDF sent with your proposal.
- A tick box before they pay.
That small step can make a big legal difference.

Next time someone tells you that you don’t have a contract
Don’t be so quick to assume if nothing is signed there is no enforceable agreement. You may be able to prove quite easily that there is.
