Client Contract Comparison: Traffic Light Risk Report

Has a client asked you to sign their contract instead of, or as well as, your KoffeeKlatch Terms of Business?

Signing both contracts does not necessarily give you twice the protection. The terms may contradict each other, remove protections you already have or add responsibilities you were not expecting. We will compare the client’s contract with the KoffeeKlatch Terms of Business you are using and give you a clear Traffic Light Risk Report showing what is different and how much it matters.

What this is for

This service is for existing KoffeeKlatch customers who:

• are using current KoffeeKlatch Terms of Business; and
• have been asked to sign a client’s contract instead of, or as well as, their own terms.

What you will get

A clear, practical written report in plain English identifying the important differences between the two contracts:

• Red: significant differences that could expose you to serious legal, financial or commercial risk.
• Amber: differences that may be important and should be considered carefully.
• Green: differences that are unlikely to cause concern or may work in your favour.

We will identify where the client’s contract:

• contradicts your KoffeeKlatch Terms;
• removes or reduces protections you already have;
• adds new responsibilities or restrictions;
• changes how or when you are paid;
• changes your liability or exposure if something goes wrong; or
• contains terms that need to be discussed before you sign.

The outcome

You will understand what is different, what matters and what you may want to raise with your client before deciding whether to sign. The report does not include rewriting the client’s contract, negotiating with your client or advising your client.

What you can submit

• One complete client contract, with a maximum of 10 pages.
• Confirmation of which current KoffeeKlatch Terms of Business you are using.
• Contract documents only, with no supporting documents.

Please contact us before purchasing if the client’s contract is longer than 10 pages.

Turnaround

We normally send your Traffic Light Risk Report within seven working days of receiving the complete client contract and confirming which KoffeeKlatch Terms of Business you are using. If you need the report sooner, please contact us before purchasing. An urgent service may be available, subject to our current workload, but an additional charge will apply.

Why this matters

Two contracts do not mean twice the protection. If the terms conflict, you may not know which ones apply until something has already gone wrong. This report gives you the information you need before you agree to terms that could undermine the protections already built into your KoffeeKlatch contract.
